Updates @ 9:05 pm on 21-6-2012: Tan Sri Wan Azmi binWan Hamzah steps down from MAS Board during the AGM. The other aviation experts like Tan Sri Azman Yahya, Tan Sri Tan Boon Seng of IJM, Dato’ Rohanan binti Rozhan from ASTRO and David Lau Nai Pek are holding on to their directorship even though they could not show what were their contributions for the past TEN MONTHS. Tan Sri Wan Azmi;s said decision should be applauded and a very responsible acts.
One would have thought that Tan Sri Azman Yahya is a very busy man with so many companies to take care of especially SCOMI. The four chose to remain for reasons best known to themselves. Will do another posting soon about those remaining.
Updates @ 12:50 pm on 21-6-2012: The minority shareholders were questioning the competent and integrity of members of the Board of directors of MAS. They have also expressed their discontent with regards to their performance. From 10: 10 am this morning until now, the Board was still facing heavy criticisms from the shareholders. They could not even proceed to pass Resolution 1 to approve the Financial Statement let alone their Re-elections. The Board have been subjected to severe embarrassment. Yours truly has been informed that Tan Sri Azman Mokhtar’s most trusted crony, Rashdan, did not attend the AGM.
Yours truly must apologies for not been able to attend because your truly question on the BinaFikir‘s consultancy fees and the 12 companies involved in the fuel hedging losses for RM3.3 billion for Parliament was No: 4 on the list. It was answered at 10: 30 am this morning. It will be posted here later.
After the MAS-AirAsia share swap, the brainchild of the little Napoleons in Khazanah Nasional Bhd, MAS will now hold its AGM on 21-6-2012 at 10:00 am, MAS Academy.
There are twelve resolutions to be considered by the MAS shareholders during MAS AGM tomorrow. Seven of the resolutions are for the re-elections of directors and they are as follows:
- Tan Sri Dr Wan Abdul Aziz Wan Abdullah, the officer from MOF
- Tan Sri Md Nor bin Md Yusof, Chairman of MAS
- Tan Sri Tan Boon Seng from IJM
- Tan Sri Wan Azmi bin Wan Hamzah @ Nik Awang
- Dato’ Rohana binti Rozhan from ASTRO
- David Lau Nai Pek
- Ahmad Jauhari Yahya (AJ), the Group CEO of MAS
The remaining resolutions are:
- To receive the Audited Financial Statement for financial year 31-12-2011 and Reports of the Directors and Auditors;
- Approval of payment of Directors’ fees;
- Re-appointment of M/s Ernst & Young as Auditors and to authorize the Directors to fix the Auditors’ remunerations;
- Authority under Section 132D of the Companies Act 1965 for Directors to issue shares; and
- Proposed Amendments to the Articles of Association
The other two aviation expert directors are Tan Sri Mohamed Azman Yahya, who is also a director of SCOMI and Symphony House Bhd, and Tan Sri Azman Mokhtar’s most trusted crony, En Mohamad Rashdan Yusof aka Danny (Rashdan) are not up for re-election. Rashdan has tendered his resignation and will be leaving MAS at the end of June 2012. Soon after the MAS-AirAir share swap, Tan Sri Mohamed Azman Yahya was also appointed to the Board of Directors of AirAsia Bhd.
By co-incidence En Mohd Omar bin Mustapha, popularly known as Omar Ong, is also a director of Symphony House Bhd and after the MAS-AirAsia share swap he was appointed as a director of AirAsia Bhd. Please read in HERE, HERE & HERE.
All Proxy Forms must be deposited with Symphony Share Registrars Sdn Bhd, which is sharing the same building with Symphony House. Yours truly is not sure whether Symphony Share Registar Sdn Bhd is one of the outfits of Symphony House Bhd. For all we know the common word “SYMPHONY” for the two companies is just another CO-INCIDENCE.

WHY THE MAS -AIRASIA SHARE SWAP WAS NOT BROUGHT BEFORE AN EGM OF MAS FOR CONSIDERATION AND APPROVAL?
DID THE BOARD APPROVE THE SPONSORSHIP OF QPR COSTING RM10 MILLION TO MAS WHENMAS IS BLEEDING?
WHO APPROVED THE TERMINATION OF FIREFLY JET SERVICES AND ON WHAT BASIS?
WHY SHANE NOLLAN OF PlaneConsult AND PlaneConsult WERE APPOINTED WHERE THERE WERE EXISTENCE OF GLARING CONFLICT OF INTEREST?
