Hutang ALWAFEER AIR lebih dari RM60 juta!

Y.B. TUAN WEE CHOO KEONG [WANGSA MAJU] minta MENTERI KEWANGAN menyatakan: –

(a)  apakah usaha due diligence yang diambil oleh Penerbangan Malaysia Bhd (PMB) /MAS, sebelum memasuki rundingan untuk pajakan tiga buah jet bagi Alwafeer Air (Alwafeer) dan adakah kesemua tiga perjanjian pajakan telah dilaksanakan dengan serta-merta dan sekiranya ya, bilakah tarikh bagi perjanjian pajakan tersebut; dan

(b)  sila senaraikan tarikh yang tepat bagi setiap pesawat Jumbo yang diserahkan kepada Alwafeer dan tarikh akhir sewaan yang akan dibayar oleh Alwaafeer bagi setiap pesawat dan berapakah jumlah bayaran sewaan yang tertunggak oleh Alwafeer Air kepada PMB/MAS.

JAWAPAN:

Tuan Yang di-Pertua,

  1. Untuk makluman Yang Berhormat, Penerbangan Malaysia Bhd (PMB) dan Malaysian Airline System (MAS) telah melaksanakan kajian terperinci (due diligence) yang merangkumi aspek perundangan dan pelan perniagaan sebelum tiga buah pesawat miliknya dipajak kepada Alwafeer Air (Alwafeer). Kajian tersebut telah dilaksanakan di peringkat dalaman syarikat.

  2. Perjanjian tersebut memberi peluang kepada MAS dan PMB untuk meraih pendapatan melalui pajakan tiga buah pesawat yang merupakan lebihan daripada keperluan sebenar MAS. Selain daripada itu, MAS turut mendapat perolehan sampingan dalam bentuk perkhidmatan kejuruteraan yang ditawarkan serta dapat memaksimumkan penggunaan alat ganti dan kakitangannya. MAS dan PMB telah menerima sejumlah RM79.35 juta dalam bentuk tunai daripada Alwafeer bagi perjanjian pajakan tersebut.

  3. Perjanjian pajakan bagi tiga buah pesawat tersebut telah ditandatangani masing-masing pada 16 Ogos 2009, 20 Oktober 2009 dan 2 November 2009, dengan penyerahan pesawat kepada Alwafeer masing-masing dibuat pada 19 Ogos 2009, 21 Oktober 2009 dan 2 November 2009. Ketiga-tiga perjanjian tersebut akan tamat pada ulang tahun keenam perjanjian iaitu pada tahun 2015.

  4. Tarikh terakhir Alwafeer membuat pembayaran sewa bagi pesawat-pesawat tersebut adalah pada 11 November 2010, dan sehingga 31 Ogos 2011, tungukan bayaran sewa kepada PMB adalah sebanyak USD19.5 juta. PMB dan MAS telah pun menghantar notis tuntutan kepada Alwafeer dan kini dalam proses untuk menamatkan kontrak pajakan tersebut. Ketiga-tiga pesawat tersebut kini telah pun berada dalam simpanan PMB.

NOTA:

Jika MAS/PMB telah melakukan “due diligence” sebelum ia menandatangani perjanjian pajakan dengan Alwafeer Air, MAS/PMB tidak akan menghadapi masalah untuk mengutip sewa bulanan bagi ketiga-tiga pesawat tersebut.

Pembelian pesawat melebihi kerperluan menunjukkan pengurusan MAS dan Khazanah tidak tahu apa yang mereka lakukan atau mampu untuk mengurus MAS.

Daripada jawapan yang diberikan oleh YAB Menteri Kewangan, telah menunjukkan bahawa sewa pajakan yang tertunggak adalah untuk tempoh 10 bulan (dari 11-11-2010 hingga 31-8-2011) berjumlah US$19.5 juta (lebih kurang RM60 juta).  Soal pentingnya adalah, MENGAPA TIADA SEBARANG TINDAKAN DIAMBIL TERHADAP PIHAK ALWAFEER AIR PADA BULAN NOVEMBER, DISEMBER 2010 ATAU JANUARI 2011?  SEBAGAI RAKYAT KAMI MENGHARAPKAN SEKURANG-KURANGNYA PIHAK MAS/PMB TELAH MENGAMBIL TINDAKAN UNTUK MENDAPAT KEMBALI KETIGA-TIGA PESAWAT TERSEBUT SELEPAS ALWAFEER AIR TIDAK MEMBUAT BAYARAN UNTUK SEWA PAJAKAN BAGI DUA HINGGA TIGA BULAN. TETAPI MAS/PMB TELAH GAGAL UNTUK BERBUAT DEMIKIAN TETAPI SEBALIKNYA IA MEMBIARKAN KEADAAN INI BERTERUSAN SEHINGGA BULAN OGOS 2011.

Berani saya menyatakan disini bahawa maklumat tidak tepat kerana usaha-usaha untuk mengambil balik pesawat terakhir telah HANYA dimulakan pada bulan Oktober 2011 selepas saya membentangkan soalan ini di Parlimen. Pesawat terakhir baru diambil balik pada akhir bulan Oktober 2011. Saya percaya jika tiada soalan dibentangkan di Parlimen, pegawai MAS, PNM dan Khazanah dibawah kawalan Tan Sri Azman Mokhtar masih tidak sedar akan keadaan ini. Inilah masalah tunggal MAS yang mengalami kerugian yang begitu besar.

Inilah satu contoh KEBOCORAN (LEAKAGE) ternyata di dalam pengurusan tertinggi MAS. Kalaulah KEBOCORAN sedemikian dapat dihentikan maka MAS telah berjaya meraih keuntungan RM100 juta tanpa mengerakkan pesawtnya!  Dengan ini, saya berharap Kerajaan akan menumbuhkan satu Suruhanjaya Di Raja untuk menyiasat secara mendalam KEBOCORAN-KEBOCORAN di dalam pengurusan MAS dan sekaligus menghentikan KEBOCORAN tersebut.

Jika tidak, KEBOCORAN ini akan berterusan tidak kira berapa ramai “CLOWN/PUPPET/CON-SULTANTS dari Bina Tak Fikir atau Fikir” untuk kononnya menyelamatkan MAS sebaliknya mereka AKAN MENGHEMPASKAN MAS dalam masa yang terdekat.

Saya percaya bahawa jumlah tunggakkan sebanyak RM60 juta BUKAN jumlah tunggakkan sebenarnya kerana jawapan tersebut tidak merangkumi tunggakkan kos dalam “BENTUK PERKHIDMATAN KEJURUTERAAN DAN ALAT-ALAT GANTI SERTA GAJI UNTUK JURUTERA-JURUTERA MAS YANG DIHANTAR KE ARAB SAUDI UNTUK MEMBERI PERKHIDMATAN”.  JIKA DIAMBIL KIRA TUNGGAKKAN UNTUK KOS TUNGGAKAN INI, SAYA YAKIN BAHAWA JUMLAH  TUNGGAKKAN SEBENARNYA ADALAH MELEBIHI RM100 JUTA!

Saya percaya bahawa tunggakkan sewa berjumlah RM60 juta atau melebihi RM100 juta telah menjadi hagus atau “bad debt” yang telah diakibatkan oleh KEBOCORAN dalam pengurusan MAS.  Saya menyatakan sedemikian kerana Alwafeer Air sudah tiada pesawat lagi untuk dioperasikan.

Tambahan pula terdapat ramai juruterbang serta pramugari MAS yang di”seconded” atau memilih untuk berkerja dengan Alwafeer Air yang tidak dibayar gaji sejak akhir tahun 2010. Masih terdapat ramai pramugari warga Malaysia yang berkerja di situ menunggu untuk dibayar tunggakkan gaji hingga kini. Mereka menjadi mangsa kerana Perjanjian Pajakan ini. Saya dimaklumkan bahawa sesetengah daripada pramugari tersebut terpaksa berkerja “PART TIME” waktu MALAM. Saya amat berharap Wisma Putera akan mengambil tindakan sewajarnya dengan serta-merta  untuk membantu pramugari-pramugari malang tersebut supaya mereka tidak perlu meneruskan kerja “PART TIME” yang tidak boleh diterima oleh masyarakat kita.

Saya berharap YB Menteri Pengangkutan bersedia pada Isnin akan datang (7-11-2011) untuk memberi penjelasan yang terperinci terhadap soalan-soalan di atas khasnya KEBAJIKAN PRAMUGARI MALANG TERSEBUT.

    We in MAS agree that Alwafeer Air was one of the leakages in the management of MAS. There were more than this. Especially in the Engineering, Catering, Purchasing Dept. There are too many to state. MAS has good revenue yearly and the lowering rank staff work very hard for MAS and we are proud of MAS. We have been working in MAS for more than 10 years and slogging for the sake of MAS. The top management staff with no experience whatsoever being helicoptered in by CEO after CEO. They have no experience and they have been given high salary and comfortable job and they know nothing in MAS except with their qualification and style. They are good in driving big cars like Porsche Panamera, with qualification from Cambridge Uni and etc. they are will eventually ended as “DEAD WOODS” in MAS. The real liabilities to MAS and their huge salaries, huge perks, allowances and free travel on MAS 1st Class with Chef on CALL ETC. AJ please stop all these perks to these top “Porsche Panamera” management staff of MAS. We slog like dogs and they enjoy themselves and at the same time telling us what to do that will screw up MAS eventually.

    Please get rid of the “PROSCHE PANAMERA TYPE OF DEADWOODS” before MAS is koyak. This is another form of leakage! Why can’t these Porsche Panamera DEADWOOD” sit in the Business Class after all their brains are worst than Economy Class. Bloody parasites of the worst kind! We hate them but we had no choice but to kow tow because of the nature of our work. If we have a chance to go to SIA we will not hesitate to go because MAS top management are real “Porsche Panamera Dead Wood”.

    MAS has a yearly revenue of about RM14 billions and yet we are making huge losses yearly. Of course, partly due to the Badawi’s government policy in stopping MAS from growing by taking away many routes and allowing AirAsia to fly the profitable routes that MAS has nurtured all these years.

    Just plug 10% of the leakages, MAS got an immediate profit of RM140 million from the Rm14 billion revenue! Wake up AJ and Tan Sri Azman Mokhtar. Stop playing your stupid games of trying to save MAS via WAU and now share swap. There were all bullshits. We in MAS know better than you. You bloody lots only knew how to spend our money by your big fat salaries and allowances!

    It is ashamed that MASEUS is useless because of its incapble leaders.We know that one of the union leader closed relative has been given contract for cleaning of cabin of MAS aircraft and other works. This is the main reason why MASEUS cannot move although its members are so furious about the share swap. MASEUS leaders are good for making statements in the press and thereafter went to sleep just to tell its members that MASEUS opposing with press statements but no direct actions. To Maseus leaders: Ptui! Ptui!PTUI! PTUI! & Ptui! MASEUS, Who are you all trying to fool?

    Also Ptui! Ptui! Ptui! to the top “Porsche Panamera Dead Woods” in MAS. We the ordinary staff are watching you lots.

    Well done Middle Rank Staff.

    These kind of enraged sentiment are so widespread and despite of the many alarms that have been triggered as early as in 2001, the many symptoms MAS has experienced and the many clues MAS has stumbled upon, the previous and current decision makers failed to probe and act accordingly.

    The situation has been worsened when these weak leaders “do not seem to be doing the right things; and evidently, they do not seem to know the right thing to do”.

    I agree fully with the Middle Rank Staff of MAS. I am a MAS staff and I know what LEAKAGES mean in MAS. It was never small leakages but HUGE LEAKAGES in MAS.The Engineering section is most scaring. Of course, catering section and Procurement section are equally bad. These sections are all headed by the Panamera Deed Woods brought in from outside. They are the protected species as most of the Panamera Dead Woods are all in the same game.

    So Mr PM, please set up a Royal Commission to investigate once and for all. Thereafter, we need not hear again that MAS is in trouble. But perhaps the Red Indian airline is actually in trouble. Forget about share swap. Let the staff be part owners of MAS and we are sure that we can do better than the idiots from Bina Tak Fikir areh..les! Please get rid of the 2 QPR hooligans or barbarians in MAS.

    MAS staff and other Malaysians must join hand to get rid of the vultures in and out of MAS. Let us all join together to fix MAS if the Government is not interested. Khazanah forget about it as long as Azman Mokhtar and Rashjdan are there. No point to think about it.

    We must whack these bastards and bleed them like they are bleeding MAS and also those who are trying to bleed MAS now.

    MAS Middle Rank Staff, well put “Panamera Dead Wood” is the cause of the problems in MAS.

    The Alwafeer Air scandal is just part of the leakages that MAS was suffering from yearly. The government must have the political will to start burning the “Panamera Dead Woods” in MAS from now on. This was a clear case of the top management wasting MAS assets. The top management has no business sense at all. It was also clear that no due diligence was done before buying the plane and before leasing the 3 planes to Alwafeer Air.

    It is now the opportune moment to burn the “Panamera Dead Woods” that recommended this leasing deal to Alwafeer. The heads of the “Panamera Dead Woods” that were involved in this deal must roll on the street for MAS staff, who have been working so hard, to see and for the remaining “Panamera Dead Woods” to voluntarily disappear from MAS and for those who are aspiring to suck MAS blood from outside may had to think another 100 times.

    The time has come to burn the Dead Woods in MAS as well as in the MASEUS. The clean MASEUS leaders must now stand up to be counted and burn the Dead Woods for the sake of the future of MAS and ultimately for its membership. We know what the hell has been going on MASEuS and who got contracts from the management to stop the union from speaking for the sake of MAS and us. MAS SPRING must start from this scandal. Alwafeer is the obviously scandals caused by the Panamera Dead Woods.

    Tun M supported the collaboration between MAS and AirAsia. No one against a genuine collaborative frameworks but not as a disguise to get more routes and to stifle MAS/Firefly or take advantage of MAS facilities. All services must be paid for at market price. A slight discount is acceptable.

    Until now there was no details of what collaborative frameworks are all about. The Deputy Minister of Finance YB Datuk Awang Adek can only tell Parliament “the collaborative frameworks will be announced from time to time”. This means that Khazanah, MAS and AirAsia have no concrete plans at all. In such a mater, the collaborative frameworks must have been properly thought out before announcement. It seemed that Tan Sri Azman Mokhtar and Tan Sri Tony Fernandes were rushing to sign it without consulting other stakeholders.

    Tun M has never said that he supported the share swap. There was no need to enter into a share swap in order to have the collaborative frameworks. There are so many companies in the world that went into co-operations for certain project without a share swap. A good example is the oil explorations project in North Sea where big oil companies like Esso, BP and etc went into collaboration exercise without a share swap and they compete with each other on their existing business. Why can’t MAS and AirAsia do the same? Competitions are always healthy and good for consumers. If such collaborative frameworks that were shrouded with secrecy are allowed then we will see more of it in the future involving Telcos and other industries.

    Who can a share swap based on the closing price of MAS and AirAsia share on certain date? If at all a share swap was deemed necessary, which is not, why Net Tangible Asset approach was not used to determine the value of the shares. No right thinking businessmen in the world would agree to Tan Sri Azman Mokhtar decision to go into a share swap based on share price especially when one company is an asset back company and the other is not.

    Whilst the investigations on the allegations of insider trading and non-disclosure to Bursa of the share swap prior to the suspension of both MAS and AirAsia counters by SC and Bursa, Bank Negara or any other authorities must not approve issuance of warrant, CUL or new shares as it will complicate the whole investigations.

    May I take this opportunity to wish you, your family and all Malaysians of Muslim faith a Selamt Hari Raya Haji. For the non-Muslim Malaysians have a nice break.

    At the recent Khazanah retreat in Langkawi, Azman Mokhtar announced the appointment of another Executive Director to “institutionalize” Khazanah. This is the first time I heard of such thing be done by any company. You don’t institutionalized things – it is your culture , your practices and how you work that make you an institution. When you start taking about institionalize your organization, this mean you start taking about leaving a legacy. At this juncture , I do not think Khazanah or it current management has any positive legacy to shout about! Hence please do not bother to make such an appointment – it is another waste of taxpayers money.

    I agree whole heartedly with The Invisible Man. The setting of Khazanah Nasioanal Bhd was part of that Sleepy Head, who created all the problems in the country. Dishing all the goodies and 96 routes to AirAsia by taking them away from MAS. Even after FAx now AirAsia X Sdn Bhd has poor service record in RAS it is given more international routes like London, Gold Coast, Paris and etc to compete with MAS.

    AirAsia X Sdn Bhd was given RM250 mil for RAS and MAS was given half of it. Yet MAS can perform well with no complaints from the people of Sabah and Sarawak. Worst of all, the Sleepy Head allowed AirAsia/AirAsia Bhd to keep the RM250 mil even though the RAS had to be terminated prematurely.

    Bloody con man at work.

    That Tan Sri Azman Mokhtar and Rashdan should have been thrown out long time ago.

    Alwafeer Air is a clear example of the leakage in MAS done by the Panamera Deadwoods in MAS. The heads of Engineering and Business Development Department must must be properly investigated. The government must call in MACC to investigate into this big scandal which will fix MAS leakages.

    YB you are almost correct in your analysis as stated in your Notes.

    There was no proper due diligent done before signing the rental agreements.
    Professional advice in MAS was totally ignored.
    During the negotiations stage Alwafeer has no Air Operation Certificate (AOC).
    MAS provided technical and operation advice to get the AOC
    Pilots and air hostesses were sent without proper protection resulting in wages not paid. Hence working “part time” at night.
    The cost of this leakage was not RM60 mil as provided by the management. It was more than RM60 mil. Easily double this figure.
    Etc, etc.

    The leakages were committed by the Panamera Deadwoods brought in and left behind by all the 5 MDs after Tan Sri Aziz.

    YB please press on for a in dept investigations by MACC to help MAS to fix the leakages. We have been working our guts out for MAS and the scoundrel just waste MAS revenues for their personal gains.

    The management went against the advice of senior officer. There was no proper due diligence done before entering into the contracts. This is one of the serious leakages in MAS. We hope that MACC will move in to investigate. Any investigations by the management will be unacceptable as it end up covering up. The answer given by MAS management or Khazanah was not even half truth. MAS staff want blood. We have had enough of being told that MAS had to cut our benefits. We don’t mind but with such big leakages like this it was just not fair. MACC must get the head of Engineering Department an Business Development to answer for this.

    Dear YB, as your rakyat I think you have done a good job airing the Air Asia-MAS in parliament. And more so that the government has taken your complaints very seriously leading to an investigation.

    But I must say that we have to get back to local problems at hand. I would like to raise again the problem of the linkage road from Kem Wardieburn towards Melawati. Since last complaints by the public on your site, it seems no authority is taking note. The road is getting atrocious, especially driving at night. Are they waiting for PRU13? Or is it because it’s a PJ/KL border area that no one cares? I dare say that even if they do repair the road, it will be superficial. They must also clear the drainage flow where rain collects especially in front of the military police area and repair the drains along the road so that the road last longer. I do hope that you would have the time to drive along there on a dry day, a rainy day and at night.

      Thank you for your comments.

      I am aware of the road conditions in the area that you have stated i.e. linkage road from Ken Wardieburn. I have been informed by DBKL that they completed the tender process for the road upgrading project. I believe that the road work will be commenced very soon. I heard it is going to be in December but I am still trying to get confirmation. Once I got the confirmation, I will post it here to keep the residents and road users informed.

    I perceive that the Cabinet is not interested in finding the truth about Mas/AA share swap. I speculate that there is “vested interests” involved at the highest level of the national administration.
